By creating an account or using the Service, you ("Client") agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms apply to all Clients regardless of location, including those in the United States, Canada, and the European Union.

1. The Service

GoBlinkly is a subscription-based SEO and AEO (Answer Engine Optimization) platform that automates blog content creation and publishing to your connected website(s). The Service includes:

• AI-assisted blog content generation based on your brand context and SEO strategy
• Automated publishing to connected platforms (e.g., Webflow) via OAuth integrations
• Performance analytics dashboards powered by your connected Google Analytics 4 (GA4) and Google Search Console (GSC) accounts

The Service is intended solely for business use by commercial entities and their authorized representatives. It is not a consumer product.

2. Account Registration

• You must register for an account to access the Service. You agree to provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at support@goblinkly.com if you become aware of any unauthorized use of your account.
• You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of your organization.
• GoBlinkly reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
  

3. Subscriptions and Billing

3.1 Subscription Plans

The Service is offered on a subscription basis. Plan details, features, and pricing are described on our website at goblinkly.com/pricing. GoBlinkly reserves the right to modify pricing with reasonable notice to existing Clients.

3.2 Billing

• Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) via Stripe, our third-party payment processor.
• By providing payment information, you authorize GoBlinkly to charge your payment method on a recurring basis for the subscription fees.
• All fees are quoted and charged in USD and are exclusive of applicable taxes.
• You are responsible for any applicable sales tax, GST/HST, VAT, or other taxes arising from your use of the Service.

3.3 Cancellation

• You may cancel your subscription at any time through your account settings or by contacting support@goblinkly.com.
• Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
• GoBlinkly does not offer refunds for unused portions of a billing period, except where required by applicable law.

3.4 Failed Payments

If a payment fails, GoBlinkly will notify you by email. If payment is not resolved within [7] days, GoBlinkly reserves the right to suspend or terminate your account and access to the Service.

4. AI-Generated Content

GoBlinkly uses artificial intelligence (AI) to generate blog content on your behalf. By using the Service, you acknowledge and agree to the following:

• Content is AI-generated: All blog posts created through the Service are generated using AI models. GoBlinkly does not guarantee that AI-generated content is error-free, factually accurate, or suitable for any particular purpose.
• Your review responsibility: You are responsible for reviewing all AI-generated content before it is published. GoBlinkly provides publishing automation, but you retain final responsibility for the accuracy, legality, and appropriateness of any content published to your website.
• No guarantee of originality: While GoBlinkly takes reasonable steps to generate original content, AI-generated content may occasionally resemble existing publicly available material. GoBlinkly does not warrant that content will be free from similarity to third-party works.
• Compliance with AI disclosure laws: You are responsible for ensuring that your use of AI-generated content complies with any applicable laws or platform policies that require disclosure of AI-generated material, including any requirements that may apply in your jurisdiction.
  

5. Content Ownership and Intellectual Property

5.1 Client-Owned Content

All blog content generated and published by GoBlinkly on your behalf is owned by you, the Client. GoBlinkly assigns to you all right, title, and interest in and to the output content produced for your account upon payment of applicable fees. GoBlinkly retains no ownership interest in your published blog posts.

5.2 Client-Supplied Materials

You retain all ownership of any brand context documents, website content, logos, guidelines, and other materials you provide to GoBlinkly ("Client Materials"). By submitting Client Materials, you grant GoBlinkly a limited, non-exclusive, royalty-free license to use those materials solely for the purpose of providing the Service to you.

You represent and warrant that you own or have the right to use all Client Materials you submit, and that their use by GoBlinkly in providing the Service does not infringe any third-party intellectual property rights. You are solely responsible for the accuracy, legality, and ownership of all Client Materials.

5.3 GoBlinkly Platform IP

All rights in the GoBlinkly platform, technology, software, algorithms, interfaces, and documentation are and remain the exclusive property of GoBlinkly. Nothing in these Terms transfers any GoBlinkly intellectual property rights to you.

5.4 Case Studies and Portfolio Use

GoBlinkly may reference your company name, website, and published blog content as a case study or portfolio example to demonstrate the capabilities of the Service. This includes use on GoBlinkly's website, marketing materials, and sales presentations. If you wish to opt out of this use, you may notify us at support@goblinkly.com and we will cease such use within [30] days.

6. Client Responsibilities

As a Client, you are responsible for:

• Providing accurate, complete, and lawful brand context documents and other materials used to generate content
• Ensuring that any content published to your website via GoBlinkly complies with all applicable laws, including copyright, defamation, advertising, and consumer protection laws
• Maintaining valid OAuth authorizations for all connected platforms (Webflow, GA4, GSC). If an authorization is revoked or expires, GoBlinkly cannot publish or retrieve data until it is renewed
• Reviewing published content and promptly notifying GoBlinkly of any errors or issues at support@goblinkly.com
• Ensuring your use of the Service does not violate any third-party platform terms (including Webflow's, Google's, or any other connected platform's terms of service)
  

7. Publishing Errors and Remedies

GoBlinkly takes reasonable care to ensure content is published accurately and as instructed. If a publishing error occurs (including incorrect content published, content published to the wrong page, or content unintentionally deleted), GoBlinkly will make reasonable efforts to rectify the error promptly upon notification.

To report a publishing error, contact support@goblinkly.com with details of the issue. GoBlinkly aims to acknowledge error reports within 1 business day and resolve them within 3 business days where technically possible.

GoBlinkly's obligation is limited to making reasonable efforts to correct the error. GoBlinkly is not liable for any downstream consequences of a publishing error, including but not limited to SEO impact, reputational harm, or loss of business, except to the extent caused by GoBlinkly's gross negligence or willful misconduct.

8. No Guarantee of SEO Results

GoBlinkly provides tools and automation to support your SEO and AEO strategy. However, GoBlinkly makes no representations, warranties, or guarantees regarding:

• Improvements to your website's search engine rankings or visibility
• Increases in organic traffic, click-through rates, or conversions
• The performance of any content published through the Service in search engines or AI-powered answer engines

SEO and AEO outcomes depend on many factors outside GoBlinkly's control, including search engine algorithm changes, competitive landscape, website authority, and content quality. Results vary by client and cannot be guaranteed.

9. Acceptable Use

You agree not to use the Service to:

• Publish content that is unlawful, defamatory, obscene, fraudulent, or infringes any third-party rights
• Generate or publish spam, misleading content, or content designed to manipulate search engines in violation of their guidelines
• Attempt to reverse engineer, decompile, or extract the source code of any GoBlinkly software
• Use the Service in any way that disrupts, damages, or impairs the Service or its infrastructure
• Resell, sublicense, or otherwise make the Service available to third parties without GoBlinkly's prior written consent
• Use the Service for any purpose that violates applicable law or regulation

GoBlinkly reserves the right to suspend or terminate your account immediately if you breach this section, without liability to you.

10. Third-Party Integrations

The Service integrates with third-party platforms including Webflow, Google Analytics 4, and Google Search Console via OAuth 2.0. By connecting these integrations, you agree that:

• You have the authority to authorize GoBlinkly to access your accounts on those platforms
• Your use of those platforms remains subject to their own terms of service and privacy policies
• GoBlinkly is not responsible for any changes, outages, or policy changes made by third-party platforms that affect the Service
• You may revoke GoBlinkly's access to any connected platform at any time through that platform's account settings, though doing so may limit or disable certain Service features
  

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GoBlinkly does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, GoBlinkly's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to GoBlinkly in the three (3) months immediately preceding the claim.

In no event shall GoBlinkly be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if GoBlinkly has been advised of the possibility of such damages.

11.3 Client Indemnification

You agree to indemnify, defend, and hold harmless GoBlinkly and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Client Materials, including any claim that they infringe a third party's intellectual property rights; (c) your breach of these Terms; or (d) your violation of any applicable law.

12. Suspension and Termination

• GoBlinkly may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay fees when due, or if continued access poses a legal or security risk.
• You may terminate your account at any time by cancelling your subscription through your account settings.
• Upon termination for any reason, your right to access the Service ceases immediately at the end of your billing period. GoBlinkly will retain and then delete your data in accordance with our Privacy Policy.
• Sections 5 (IP), 8 (No Guarantee), 11 (Liability), 13 (Governing Law), and 14 (Disputes) survive termination of these Terms.
  

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. For EU Clients, mandatory consumer or business protection provisions of your local law may also apply and are not excluded by these Terms.

14. Dispute Resolution

In the event of a dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute informally by contacting GoBlinkly at support@goblinkly.com. If the dispute is not resolved within 30 days, either party may pursue resolution through the courts of competent jurisdiction in the Province of Quebec.

15. Changes to These Terms

GoBlinkly may update these Terms from time to time. We will notify you of material changes by sending an email to the address associated with your account at least 30 days before the changes take effect, and by posting the updated Terms on our website with a revised "Last Updated" date.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the changes, you must cancel your subscription before the effective date.

16. General Provisions

• Entire Agreement: These Terms, together with GoBlinkly's Privacy Policy, constitute the entire agreement between you and GoBlinkly regarding the Service and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: GoBlinkly's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without GoBlinkly's prior written consent. GoBlinkly may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
